4. Sto Changes Legal Form to SE & Co. KGaA, DAW becomes SE, too

The stock holders assembly of Sto AG, headquartered in Stühlingen, Germany, decided to change the legal form of Sto AG into a SE & Co. limited partnership by shares (SE means Societas Europaea, a stock corporation on European level). Sto Management SE, also located in Stühlingen, Germany, announced to join as a personally liable associate and approved the new statutes of Sto SE & Co. KGaA. The transformation will insure the continued influence of the Stotmeister family in the future, even after the retirement of the Director of the Board Jochen Stotmeister and his deputy director Gerd Stotmeister which has been announced for the stock holders assembly in June 2015. In the future, the Sto SE & Co. KGaA business will be lead by Sto Management SE. Stock holder of this entity is only Stotmeister Beteiligungs GmbH, located in Stühlingen, Germany, which indirectly represents the Stotmeister family.

Recently, we got knowledge that paint and EIFS manufacturer Deutsche Amphibolinwerke Robert Murjahn Stiftung & Co. KG (DAW, brands include Caparol and Alsecco, amongst others), Ober-Ramstadt, Germany, has decided to make a similar change in the company legel status, DAW will soon become a SE, too.

Both companies are family owned and the formation of the SEs in combination with trusts is seen by the author as measure to insure the existence of those companies when the initial (family) management is gradually being replaced by outside personnel.
