1. Celanese Acquires Elotex from Nouryon

Celanese Corporation, Dallas, TX, USA has reached an agreement with Nouryon, Amsterdam, The Netherlands to acquire the redispersible powder and specialty drymix mortar additives business Elotex, headquartered in Sempach-Station, Switzerland. The Elotex portfolio for drymix mortars includes redispersible powders and specialty additives affecting e.g. rheology, hydrophobicity and anti-efflorescence behavior of mortars. The deal includes Elotex' redispersible powder production plants in Geleen, The Netherlands, Höchst (Frankfurt), Germany and Shanghai, China along with the specialty additives production in Mooslerau, Switzerland. Also included is the Elotex R&D, technical and sales infrastructure at the HQ in Sempach-Station.

Nouryon contains the chemical activities that AkzoNobel, Amsterdam, The Netherlands spun off to private equity companies Carlyle Group L.P., Washington D.C., USA and GIC Pte. Ltd, Singapore in late 2018 (we reported earlier).

Both in Geleen and Höchst Celanese Vinyl-Acetate Ethylene (VAc/E) polymerization units are co-located to Elotex facilities, so the move could be called a forward integration of Celanese. According to Celanese, Elotex will be re-instated as independent unit and run independently of Celanese. A transaction value was not disclosed by either party, the deal is still subject to regulatory approvals. It is expected to close within the second quarter of 2020.
